We advise clients with respect to federal and state tax matters, including tax litigation, tax planning for business transactions, advising clients on the tax implications of corporate acquisitions, partnership formation and restructuring transactions. In the area of tax litigation we handle numerous administrative appeals each year. Michael L. Cook and Corby Brooks have handled federal tax cases in the United States Tax Court and the Federal District Court and Michael L. Cook has handled appeals in the Fifth Circuit Court of Appeals. Michael L. Cook and Corby Brooks are both Board Certified in Tax Law by the Texas Board of Legal Specialization and are also Certified Public Accountants. Michael Johnson is Board Certified in Estate Planning and Probate Law by the Texas Board of Legal Specialization.

We assist clients with asset protection planning. Asset protection planning involves a comprehensive examination of a client’s circumstances, with an eye toward designing and implementing structures to maximize the protection of a client’s assets. This planning requires a deep understanding of a client’s assets and goals, and often crosses over into multiple legal disciplines, including business law, tax law, and estate planning.

Regardless of whether these issues arise from outbound transactions, (such as expanding a business in other countries or investing in non-US assets), or from inbound transactions, (such as individuals moving to the United States or planning their estates to maximize tax efficiency for their US children), we assist our clients with the tax, business and estate planning aspects of these issues.
